Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ringwell platform, including our website, dashboard, AI receptionist services, and related features (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

Ringwell ("we," "us," or "our") reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and revising the "Last updated" date.

1. Eligibility

You must be at least 18 years old and authorized to act on behalf of the business entity registering for the Service. By using the Service, you represent that you have the authority to bind your business to these Terms.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

3. Description of Service

Ringwell provides an AI-powered virtual receptionist that answers phone calls on behalf of your business. The Service includes:

  • Automated call answering and intelligent conversation handling
  • Appointment scheduling and calendar management
  • Emergency dispatch coordination
  • Call recording, transcription, and AI-powered analysis
  • SMS messaging (e.g., booking links) to callers with their consent
  • A web dashboard for managing calls, appointments, and agent settings

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Misrepresent the AI receptionist as a human being when directly asked
  • Use the Service to send unsolicited messages, spam, or marketing communications
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or related systems
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use the Service to process or store sensitive data beyond what is necessary for normal business operations (e.g., credit card numbers, Social Security numbers)

5. Call Recording & Consent

The Service records and transcribes phone calls handled by your AI receptionist. You are responsible for complying with all applicable federal, state, and local laws regarding call recording and consent, including but not limited to:

  • Providing notice to callers that calls may be recorded (where required)
  • Obtaining consent in two-party consent jurisdictions
  • Complying with the Telephone Consumer Protection Act (TCPA) for any outbound communications

We provide tools to configure your agent's greeting to include recording disclosures, but compliance is ultimately your responsibility.

6. SMS Messaging

The Service may send SMS messages to callers on your behalf (e.g., booking links). Messages are sent only when a caller verbally consents during a phone call. You agree that:

  • SMS will only be used for transactional purposes (scheduling, booking links)
  • You will not use the SMS feature for marketing or promotional messages
  • You will comply with all applicable regulations including the TCPA and carrier guidelines
  • Standard message and data rates may apply to recipients

7. Subscription & Billing

The Service is offered on a subscription basis. By subscribing, you agree to pay the applicable fees as described on our pricing page. Subscriptions automatically renew unless cancelled before the renewal date.

  • Billing: You will be billed in advance on a monthly or annual basis depending on your plan.
  • Overages: Usage beyond your plan's included call limit may incur additional charges at the per-call rate specified in your plan.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
  • Price Changes: We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

8. Intellectual Property

The Service, including its software, design, features, and documentation, is owned by Ringwell and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business operations.

You retain ownership of your business data, call recordings, customer information, and any content you provide through the Service.

9. AI Limitations & Disclaimer

The AI receptionist is designed to handle common call scenarios accurately but is not infallible. You acknowledge that:

  • The AI may occasionally misunderstand callers or provide imperfect responses
  • The AI is not a substitute for professional medical, legal, or emergency services
  • Call summaries and classifications are AI-generated and may contain inaccuracies
  • You are responsible for reviewing and acting on information provided by the Service

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RINGWELL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOST PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Ringwell, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, or (d) your failure to obtain required consent for call recording or SMS messaging.

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages that temporarily affect availability. We are not liable for any losses resulting from service interruptions.

13. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or engage in conduct that we determine is harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ringwell regarding the Service and supersede any prior agreements.
